Terms of Service

These Terms of Service ("Terms") govern your access to and use of Outcheck, a file review and approval platform operated by SR Labs s.r.o. ("Outcheck", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Outcheck is a web-based platform that allows users ("Members") to upload files, share them with clients and collaborators ("Guests"), collect feedback and annotations, and obtain documented approval decisions. The Service is offered on a subscription basis.

2. Eligibility

You must be at least 16 years old to use the Service. By using Outcheck, you represent that you meet this requirement. If you are using Outcheck on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Accounts

You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

Guests (people you invite to review files) are not required to create an account. By sharing a review link, you represent that you have the right to share the relevant content with the invited recipient.

4. Acceptable Use

You agree not to use the Service to:

• Upload or share content that infringes any third-party intellectual property right
• Upload or share illegal, harmful, abusive, defamatory, or obscene content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Introduce malware, viruses, or other malicious code
• Scrape, crawl, or systematically extract data from the Service without our written consent
• Use the Service for any purpose that violates applicable law or regulation
• Resell or sublicense access to the Service without our prior written consent

We reserve the right to remove content and suspend accounts that violate these rules, without prior notice.

5. Content Ownership and Licence

You retain all intellectual property rights in the files and content you upload ("Your Content"). By uploading content, you grant us a limited, non-exclusive, worldwide, royalty-free licence to store, process, and display Your Content solely to provide the Service to you and your Guests. We do not use Your Content for advertising, model training, or any other purpose.

You are solely responsible for ensuring you have the right to upload and share Your Content.

6. Subscription and Billing

Access to the paid features of Outcheck requires a valid subscription. Subscriptions are billed monthly or annually in advance. All fees are stated in US dollars and are exclusive of applicable taxes unless stated otherwise.

Free trial. We may offer a free trial period. A valid payment method is required to start the trial. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.

Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused time remaining in a billing period.

Refunds. We believe in Outcheck and we want you to love it too. If something isn't working for you, reach out to us at support@outcheck.io — we'll do our best to make it right. If we genuinely can't, we'll refund 100% of your last payment, no hassle. We'd rather have a happy former customer than an unhappy one.

Payments are processed by LemonSqueezy, LLC. By completing a purchase you also agree to LemonSqueezy's terms of service.

7. Price Changes

We may change subscription prices from time to time. We will give you at least 30 days' notice of any price change by email. Continued use of the Service after the price change takes effect constitutes your agreement to the new price.

8. Service Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance that results in temporary unavailability. We will make reasonable efforts to provide advance notice of planned downtime.

9. Intellectual Property

All rights in the Service itself — including the software, design, trademarks, logos, and documentation — belong to SR Labs s.r.o. or our licensors. Nothing in these Terms transfers any such rights to you. You may not copy, modify, reverse-engineer, or create derivative works of any part of the Service.

10. Confidentiality

We treat Your Content as confidential. We will not access your files except as necessary to provide the Service, resolve technical issues you report, or comply with a legal obligation. Our employees and contractors who access your data are bound by confidentiality obligations.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements or that it will be free of errors.

12. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the fees you paid to us in the 12 months immediately preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be excluded under mandatory applicable law, including liability for death or personal injury caused by our negligence or for fraud.

13. Indemnification

You agree to indemnify and hold harmless SR Labs s.r.o. and its officers, directors, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from: (a) Your Content; (b) your use of the Service in violation of these Terms; or (c) your violation of any applicable law or third-party right.

14. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you breach these Terms or if we are required to do so by law. Upon termination, your right to access the Service ceases. We will retain Your Content for 30 days after termination to allow for data export, after which it will be permanently deleted.

15. Governing Law and Disputes

These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Prague, Czech Republic.

If you are a consumer in the EU, you may also have the right to use the European Commission's Online Dispute Resolution platform.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. If you do not agree to the revised Terms, you must stop using the Service before they take effect. Continued use after the effective date constitutes acceptance.

17. Miscellaneous

If any provision of these Terms is held to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable; the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
